# Cargo Partnerships

> The operating counterparties, infrastructure and partner programmes behind Cargo vaults, and how to work with Cargo as a market maker, LP, originator, offtaker or venue.

Cargo works with independent firms for custody, verification, identity and settlement, and runs open programmes for market makers, liquidity providers, originators and venues. Each vault adds its own local counterparties: a warehouse or vault operator, an inspector, a bank and a price reference.

## Operating Counterparties

| Area | Every Vault | In the Genesis Vault |
| :- | :- | :- |
| Storage | A warehouse or vault under an independent collateral manager | Approved bonded warehouse |
| Stock verification | An independent inspector for every lot | Vallis |
| Banking | A bank for sale proceeds and payments to originators | Partner bank, named on signing |
| Price reference | A published reference price and a hedge market; not partners | ICE London Cocoa |
| Identity | Persona, for KYC and KYB | Persona |

The trustee, security agent, auditor and insurer for each vault are named to investors on signing.

## Technical Integrations

| Integration | Use | Status |
| :- | :- | :- |
| Arc (Circle) | Target chain; USDC-native | Target |
| Base | Fallback chain | Fallback |
| ERC-3643 | Permissioned token standard and identity registry | Live with the first vault |
| Safe | Multisig administration with timelock | Live with the first vault |
| Morpho | Isolated lending markets per vault share, starting with cvCOCOA/USDC | Planned |

## Partner Programmes

> [card] Market Makers and APs
>
> Quote vault shares against USDC around iNAV, answer RFQs and bid in every batch. In return: authorised-participant status, an inventory loan, fee rebates and a share of auction fees.

> [card] Liquidity Bridge LPs
>
> Buy exits at NAV − 1.0% and redeem at NAV − 0.10%, in a segregated mandate run by a licensed panel market maker. Cargo does not manage LP money. Minimum \$50,000.

> [card] Originators
>
> Licensed producers, exporters and dealers list receipted lots and sell at the reference price less the clearing discount, instead of at the local bid. In the Genesis Vault: licensed cocoa exporters and cooperatives, with lots of 25 t or more.

> [card] Private Venues
>
> Licensed venues can list Cargo vault shares with our NAV feed, whitelist and APs. No listing fees either way.

## Approved Buyers (Offtake)

Processors, exporters, refiners and traders who want to buy the goods in a Cargo vault join that vault's offtake panel. On top of entity KYB, an approved buyer provides:

* two trade references;
* a signed Approved Buyer Agreement and evidence of authority to sign contracts;
* import and shipping details for the destination;
* bank details for refunds of deposits.

## Listing on Other Private Venues

We want Cargo vault shares wherever eligible buyers already trade, as long as the venue keeps the whitelist and the NAV anchor intact.

| A Venue Qualifies if It | We Provide |
| :- | :- |
| Is licensed for the activity where it operates | The NAV and iNAV feed, free |
| Enforces the ERC-3643 whitelist, or routes transfers through it | Authorised-participant access for the venue's market makers |
| Onboards only eligible investors | The lot registry and collateral-manager reports |
| Shows NAV and the premium or discount next to the price | Listing support and joint announcements |
| Settles atomically and reports trades to the tape | No listing fees either way |

Permissioned RFQ networks and licensed OTC desks can quote now, as principals or agents under their own licences. A regulated EU DLT venue becomes worthwhile once monthly volume and EU demand justify it.
